    A0K1VERSE CloneX Vial Exclusive Passport Drawing

    Official Rules 

    NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

    TIMING: The A0K1VERSE CloneX Vial Exclusive Passport Drawing (the “Promotion”) starts at 12:00 a.m. Pacific Time (“PT”) on April 5, 2022 and ends at 11:59 p.m. PT on April 12, 2022 (“Promotion Period”). 

    ELIGIBILITY: Promotion is open to legal residents of the fifty (50) United States and the District of Columbia who are (i) U.S. citizens or permanent residents at least eighteen (18) years old, and (ii) A0K1VERSE Passport token holders at the Prizm, Phantom, Ultraviolet, Neon Blue, Electric Green, or Infrared Level as of April 4, 2022. Employees of YM&U Group (“Sponsor”), A0K1VERSE, LLC, MoonPay, their respective subsidiaries, distributors, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Promotion is not open to the general public and is subject to all applicable federal, state, territorial and local laws. If you are not a A0K1VERSE Passport token holder at the Prizm, Phantom, Ultraviolet, Neon Blue, Electric Green, or Infrared Level as of April 4, 2022 at 11:59pm PST, you are not eligible to enter this Promotion.

    (1) Promotion entry (each, a “Entry”). Entries must be received by 11:59 p.m. PT on April 12, 2022 in order to be eligible. Entries generated by script, macro or other automated means and Entry requests by any means which subvert the participation process are void. 

    Limit one (1) Entry per person for the duration of the Promotion Period. You may only use one (1) email address/crypto wallet ID to enter. Multiple Entries received from any person or email address in excess of the limitation stated above will be void. All Entries become the sole property of the Sponsor and will not be returned.

    RANDOM DRAWINGS: One (1) potential Grand Prize winner will be selected in a random drawing from among all eligible entries received from Prizm and Phantom passport holders (as of April 4, 2022) combined throughout the Promotion Period. One (1) potential Grand Prize winner will be selected in a random drawing from among all eligible entries received from Ultraviolet Level passport holders (as of April 4, 2022) throughout the Promotion Period. One (1) potential Grand Prize winner will be selected in a random drawing from among all eligible entries received from Neon Blue Level passport holders (as of April 4, 2022) throughout the Promotion Period. Additionally, Twenty (20) First Prize winners will be selected in a random drawing from among all eligible entries received from Electric Green Level passport holders (as of April 4, 2022) and mail-in entrants throughout the Promotion Period, and Forty (40) First Prize winners will be selected in a random drawing from among all eligible entries received from Infrared Level passport holders (as of April 4, 2022) and mail-in entrants throughout the Promotion Period. Odds of winning a prize will depend on the number of eligible Entries received for each drawing throughout the Promotion Period.

    WINNER NOTIFICATION: Sponsor’s decisions are final and binding on all matters relating to this Promotion. Potential winners will be notified by phone, e-mail and/or mail and will be required to execute and return an affidavit of eligibility, a liability release, and, where lawful, a publicity release within five (5) days from date of issuance. If such documents are not returned within the specified time period, prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner, or a potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s discretion, an alternate winner may be selected for the applicable prize. If a potential winner is an eligible minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winner set forth herein. 

    GRAND PRIZES (3) (One (1) for Prizm/Phantom, One (1) for Ultraviolet, and One (1) for Neon Blue Level Holders): Each Grand Prize winner will receive a CloneX Vial NFT.  Approximate Retail Value (“ARV”) of each Grand Prize (as of April 4, 2022) is $80,000.00.

    FIRST PRIZES (60) (Twenty (20) for Electric Green and Forty (40) for Infrared Level Holders): Each First Prize winner will receive either an upgraded Passport from Electric Green to Neon Blue (20 of these prizes) or an upgraded Passport from Infrared to Electric Green (40 of these prizes).  ARV of each First Prize (as of April 4, 2022) is $925 for each upgrade from Infrared to Electric Green and $6,600 for each upgrade from Electric Green to Neon Blue. 

    PRIZE CONDITIONS: All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners.

    By accepting an NFT from Sponsor, you accept and acknowledge:

      • The value of a NFT is subjective. Prices of NFTs are subject to volatility and fluctuations in the price of cryptocurrency can also materially and adversely affect NFT prices. You acknowledge that you fully understand this subjectivity and volatility and that you may lose value.
      • A lack of use or public interest in the creation and development of distributed ecosystems could negatively impact the development of those ecosystems and related applications, and could therefore also negatively impact the potential utility of NFTs.
      • The regulatory regime governing blockchain technologies, non-fungible tokens, cryptocurrency, and other crypto-based items is uncertain, and new regulations or policies may materially adversely affect the development of the Service and the utility of NFTs.
      • You are solely responsible for determining what, if any, taxes apply to your NFT transactions. Sponsor is not responsible for determining the taxes that apply to your NFTs.
      • There are risks associated with purchasing items associated with content created by third parties through peer-to-peer transactions, including but not limited to, the risk of purchasing counterfeit items, mislabeled items, items that are vulnerable to metadata decay, items on smart contracts with bugs, and items that may become untransferable. You represent and warrant that you have done sufficient research before making any decisions to sell, obtain, transfer, or otherwise interact with any NFTs or accounts/collections.
      • Sponsor does not control the public blockchains that you may be interacting with and Sponsor does not control certain smart contracts and protocols that may be integral to your ability to complete transactions on these public blockchains. Additionally, blockchain transactions are irreversible and Sponsor has no ability to reverse any transactions on the blockchain.
      • There are risks associated with using Internet and blockchain based products, including, but not limited to, the risk associated with hardware, software, and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to your third-party wallet or crypto account. You accept and acknowledge that Sponsor will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using your third-party wallet, crypto account or any blockchain network, however caused.
      • The Promotion relies on third-party platforms and/or vendors. If Sponsor is unable to maintain a good relationship with such platform providers and/or vendors; if the terms and conditions or pricing of such platform providers and/or vendors change; if Sponsor cannot comply with the terms and conditions of such platforms and/or vendors; or if any of such platforms and/or vendors loses market share or falls out of favor or is unavailable for a prolonged period of time, access to and use of the Promotion will suffer.

    GENERAL CONDITIONS:  By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor, which shall be final and binding in all respects relating to this Promotion; (b) to release, discharge and hold harmless Sponsor, A0K1VERSE, LLC, MoonPay , and their respective affiliates, subsidiaries, distributors, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Promotion or any Promotion-related activity or the acceptance, possession, use or misuse of the prize; and (c) to the use of his/her name, voice, performance, photograph, caption, entry, and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Promotion without the prior consent of the Sponsor, which it may withhold in its sole discretion.

    MISCELLANEOUS: Released Parties are not responsible for postage-due mail or for lost, late, incomplete, damaged, inaccurate, stolen, illegible, delayed, misdirected, undelivered, or garbled Entries, or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of entries, the announcement of the prizes, or in any Promotion-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion. Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Promotion or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Promotion or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the Promotion be, in Sponsor’s sole opinion, compromised for any reason, including virus, worms, bugs, non-authorized human intervention, epidemic, pandemic, an Act of God, or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion (or portion thereof) and, if terminated, at its discretion, select the potential winners for the drawing(s) at issue from among all non-suspect, eligible Entries received for the applicable drawing(s) prior to action taken. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE PROMOTION PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

    ARBITRATION: Except where prohibited by law, as a condition of participating in this Promotion, participant (or participant’s parent or legal guardian, if a minor) agrees that (1) any and all disputes and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Promotion), and participant further waives all rights to have damages multiplied or increased.

    CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the substantive laws of the State of California, USA.
